CALGARY, ALBERTA — (Marketwired) — 11/01/17 — Harvest Operations Corp. (“Harvest” or the “Company”) is pleased to announce that it successfully re-opened its US$285,000,000 3.000% Guaranteed Notes due 2022 raising an additional US$200,000,000 at a price of 99.20% of the principal amount thereof (the “Notes”). The additional US$200,000,000 is expected to close on November 6, 2017. The total principal amount of the previously-issued Notes and the Notes offered hereby will be approximately US$485,000,000. Interest on the Notes will be payable semi-annually in arrears on March 21 and September 21 of each year, commencing on March 21, 2018 until redemption or maturity. The Notes offered shall constitute a further issuance of, and be fungible with and be consolidated and form a single series with, the US$285,000,000 3.000% Notes due 2022, which were issued on September 21, 2017. The Notes will share the same ISIN and CUSIP numbers as the portion of the previously-issued Notes sold in compliance with Regulation S under the Securities Act (as defined below), except that for the first 40 days after their issuance, the Notes will have temporary ISIN and CUSIP numbers.
The Notes have been rated Aa2 and AA by Moody–s Investors Service and Standard & Poor–s Ratings Services, respectively.
The Notes will be unconditionally and irrevocably guaranteed by Harvest–s parent company Korea National Oil Corporation (“KNOC”).
HSBC Securities (Canada) Inc., Citigroup Global Markets Inc. and SMBC Nikko Capital Markets Limited are acting as joint bookrunners and lead managers for the offering.
Application has been made for the listing and quotation of the Notes on the Singapore Exchange Securities Trading Limited (SGX).
Harvest intends to use the net proceeds of the offering to fund the completion and commissioning of its BlackGold oil sands project and for general corporate purposes.
The Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or sold in the United States. The offering will be made solely by means of a private placement to persons outside of the United States pursuant to Regulation S under the Act.
