HOUSTON, TX — (Marketwire) — 08/16/11 — Magnum Hunter Resources Corporation (NYSE: MHR) (NYSE Amex: MHR-PrC) (NYSE Amex: MHR-PrD) (the “Company”) announced today that its Board of Directors has declared a dividend in the form of warrants to purchase shares of the Company–s common stock at $10.50 per share payable on October 14, 2011 to shareholders of record on August 31, 2011. Each shareholder of the Company–s common stock will receive one warrant for every ten shares owned as of the record date (with the number of warrants rounded down to the nearest whole number). Each warrant will entitle the holder to purchase one share of the Company–s common stock at an exercise price of $10.50 per share, subject to certain anti-dilution adjustments. The warrants will generally be exercisable for two years from the date of issuance subject to redemption at the option of the Company at $0.001 per warrant upon not less than thirty days– notice to the holders.
The Company will issue the warrants pursuant to a warrant agreement which will be attached as an exhibit to the Company–s Current Report on Form 8-K that will be filed with the Securities and Exchange Commission (“SEC”) prior to the date of issuance of the warrants. The warrants will generally be exercisable for two years from the date of issuance, subject to the terms and conditions set forth in the warrant agreement. In particular, the warrants will be exercisable only if a registration statement relating to the shares of the Company–s common stock issuable upon exercise has been declared effective. On or around the time of issuance of the warrants, the Company intends to file with the SEC a registration statement registering the Company–s common stock underlying the warrants.
