CALGARY, ALBERTA — (Marketwire) — 07/26/11 — Precision Drilling Corporation (“Precision” or the “Corporation”) today announced that it priced US$400 million aggregate principal amount of 6.5% senior unsecured notes due 2021 (the “notes”) in a private placement.
Precision intends to use the net proceeds from the notes offering to fund its capital expenditure program, including its 2011 new build program, and for general corporate purposes.
The notes are being offered to qualified institutional buyers under Rule 144A and may be offered outside the United States pursuant to Regulation S. The notes have not been registered under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
